SERVICE AGREEMENT

SERVICE AGREEMENT for:

This Agreement is entered into effective as of  12/06/2025 by and between above listed company (“Customer”), and Kimberly Fancher doing business as Score More Leads (“Company”). These Terms are collectively referred to as the "Agreement."

For the purposes of authorizing Score More Leads to start working, Score More Leads and Customer hereby agree and acknowledge:

1. RELATIONSHIP

1.1 Customer is an independent entity and is not a strategic partner, franchisee, agent, or employee of Score More Leads. Score More Leads is an independent entity and is not a strategic partner, franchisee, agent, or employee of Customer. Neither party will refer to the other party as anything implying a partnership type of arrangement.

1.2 Customer agrees to open communication and transparency. Our team will be in touch throughout the process. We believe in fostering honest, two-way communication to provide the best results.

1.3 Customer agrees to active participation. To help us help you, we’ll ask for your feedback and input. Remember, we’re in this together.

2. OWNERSHIP & CONFIDENTIALITY

2.1 Ownership of Designs

All work and associated intellectual property generated by Score More Leads remains the sole ownership of Score More Leads, excluding Customer creative and Customer copy. The ownership of creative and copy created by either the Customer or Score More Leads, including graphics, text, and multimedia content, shall be transferred to the Customer upon completion and payment for the services rendered. Assets will be delivered via selected Social Media Platforms.

2.2 Ownership of Data

All information collected for the Customer is to remain the exclusive property of the Customer as long as the Customer abides by the terms in this agreement. Score More Leads will not rent, sell, or lease any information at any point. If the Customer breaks the terms of the agreement, Score More Leads reserves the right to delete upcoming scheduled campaigns from the Customer's account.

The Customer acknowledges and agrees that the ownership of creative and copy created by either party during the course of providing services under this agreement shall be transferred to the Customer. However, the Customer shall not use, disclose, replicate, or otherwise exploit any proprietary information, campaign strategies, targeting methods, testing methodologies, or any other confidential information related to the operation and management of the campaigns conducted by Score More Leads. The Customer agrees to maintain the confidentiality of such information and to refrain from using it for their own benefit or disclosing it to any third party.

In the event of a breach of this provision, Score More Leads reserves the right to seek legal remedies, including injunctive relief, to prevent the Customer from using or disclosing confidential information and to protect its intellectual property rights. The Customer shall be liable for any damages resulting from such breach, including but not limited to financial losses incurred by Score More Leads due to unauthorized use or disclosure of confidential information.

By agreeing to the terms of this contract, the Customer acknowledges that the ownership of creative and copy shall be transferred to the Customer, while also recognizing the importance of maintaining the confidentiality and integrity of the campaign strategies, testing methodologies, and other confidential information of Score More Leads.

2.3 Confidentiality

The existence of this Agreement, and all information obtained from, or developed for, or on behalf of the Customer by Score More Leads as part of this Agreement, including but not limited to marketing collaterals, graphics, client data, business plans, database files, and email communication, is to be kept strictly confidential by Score More Leads and is not to be shared with any third-party, partner or affiliate of Score More Leads, without receiving prior written approval from the Customer. By signing of this agreement, Customer agrees to allow Score More Leads to use results and testimonials in promotion of the work Score More Leads offers.


3. GUARANTEES

3.1 Contractor Exclusivity Guarantee

Score More Leads will not advertise for any competing business whose service areas overlap with that of the Customer’s. The Customer is responsible for providing Score More Leads with the locations they would like to target, and Score More Leads is responsible for turning away any work that would require running ads for another like contractor servicing that area.

3.2 Social Media Management + Agency Exclusivity Guarantee

The Customer agrees that while they are working with Score More Leads, they will not hire an outside agency to post social for them, whether through the system that Score More Leads is utilizing or through another. If when Score More Leads and the Customer begins working together, Score More Leads finds that the Customer has not disclosed that they are already working with another agency, Score More Leads will wait until the Customer’s contract has ended with the agency before commencing designs. All previous agency staff, outsourcers, or white labelers must be removed from the Customer’s social media accounts before Score More Leads commences work on designs. If the Customer begins utilizing another marketing agency while in agreement with Score More Leads, Score More Leads has the right to void the service agreement without refunding the Customer any payments thus made. Additionally, the Customer agrees that they will not themselves create, delete, or change any aspect of creative posted after approval while working with Score More Leads. The Customer agrees not to add any outside parties, contractors, or agencies to their content planner throughout the duration of their agreement with Score More Leads. Although Score More Leads advises against it, the Customer is free to boost posts while working with Score More Leads.

4. PAYMENTS & DEADLINES

Score More Leads will charge $2000 to the Customer’s credit card monthly for the monthly social media management services provided. Score More Leads will charge $1000 to the Customer’s credit card monthly for a prorated month one of services. If the Customer’s credit card is declined, Score More Leads will ask the Customer to provide an alternate card. If Score More Leads is still unable to collect payment, the Customer will have 24 hours to provide a valid payment method. If a valid payment method is not provided within 24 hours, the Customer’s scheduled social posts will be turned off, at which time the Customer will have an additional 24 hours to provide a valid payment method before the posts are permanently deleted from the Customer’s account. The Customer will then be required to pay a $500 reactivation fee to have the campaign(s) recreated and relaunched. Payments will be established prior to Score More Leads initiating any campaign development or commencing designs. The Customer will be auto-charged each month on the date as of the initial payment.  

5. SERVICE LEVEL AGREEMENT

5.1 Account Manager Availability

Score More Leads account manager will be available during normal business working hours, Monday through Friday, between 9:00AM to 5:00PM CST via Email and Phone.

5.2 Response times

Score More Leads strives to respond to every email request or phone message pertaining to Customer projects as quickly as possible. Score More Leads guarantees a maximum response time to emails, text messages, and phone calls of 24 hours during normal business hours.

5.3 Onboarding

Onboarding will be conducted within 3-5 business days of payment submission as long as Customer’s schedule allows. Delay in onboarding due to Customer's schedule will not extend services or pro-rate month.

5.4 Reporting

Upon the launch of the first campaign, Score More Leads will conduct a monthly review of the campaign performance with Customer to review current metrics and next steps. This will be reviewed on the monthly strategy sessions.

6. TERMS & TERMINATION

This service agreement is a 6-Month minimum agreement between Score More Leads and the Customer. The start date will take effect on the date this agreement is executed. This Agreement shall remain in effect until Customer decides to terminate the service. Once the 6-months is over, this agreement will remain in effect and the term will transition to a month-to-month agreement without any notice. The Customer will continue being auto-charged until the Customer terminates the service. Customer must send a written email to 30-days in advance to cancel services, but only after the 6-month original contract ends. If while in a month-to-month agreement, the Customer cancels services once a new month of service has begun, the Customer is responsible for paying the full monthly management fee for that month; the monthly management fee cannot be prorated or refunded. If the Customer terminates services before the full 6-month contract term is over, the Customer agrees to pay 50% of the management fees of each remaining month in the contract; the buy-out fee will be due in full upon cancellation. If the Customer neglects to pay the management fees of each remaining month in the contract, Score More Leads is at liberty to take legal action against the Customer, and the Customer hereby agrees to cover Score More Leads’ legal fees.

7. 3rd PARTY POLICIES & RULES

7.1 Client understands that Facebook and Instagram, collectively owned by Meta, and TikTok is a 3rd Party that can disapprove content and even disable or permanently restrict accounts at any time, for any reason.

Client understands that Score More Leads will follow all Terms of Services written by Facebook, Instagram, ,and TikTok. Score More Leads will also use “Best Practices” as we understand them directly from social platforms representatives and other high-volume agencies.

Client understands that Score More Leads does not offer refunds if a 3rd Party decides to close the client’s account without notice or reason. Score More Leads will only use approved methods that are considered “white hat,” and Score More Leads will not endorse or use any software, tools or methods that would be in violation of 3rd Parties Terms of Use.

Score More Leads strongly suggests that the client read all of 3rd Parties Terms of Use before the client executes this agreement with Score More Leads.

7.2 Client understands that telephone and email providers can block, disapprove, and even disable or permanently restrict messaging sent by Client at any given time, for any reason.

Client understands that Score More Leads will follow "Best Practices" to remain in compliance with A2P messaging standards. Client understands that Score More Leads does not offer refunds if providers decide to block or disable the client’s messaging ability without notice or reason.

Score More Leads strongly suggests that the client read all of Twilio and MailGun Terms of Use before the client executes this agreement with Score More Leads.

8. MISCELLANEOUS

The agreement must be construed as if both parties jointly wrote it and governed by except for its conflicts of laws principals. The agreement constitutes the entire and exclusive agreement between the parties with respect to the subject matter hereof, and supersedes and replaces any other agreements, terms and conditions applicable to the subject matter hereof. No statements or promises have been relied upon in entering into this agreement except as expressly set forth herein, and any conflicting or additional terms contained in any other documents (e.g. reference to a purchase order number) or oral discussions are void. Each party shall not disclose the terms or conditions of these terms to any third party, except to its professional advisors under a strict duty of confidentiality or as necessary to comply with a government law, rule or regulation. Customer may grant approvals, permissions, extensions and consents by email, but any modifications by Customer to the Agreement must be made in a writing executed by both parties. 9. Credit Card Payment Authorization

I authorize Score More Leads to charge the credit card as used to initiate services executed by this agreement. I certify that I am an authorized user of this credit card and that I will not dispute any charges from Score More Leads with my credit card company. There are no refunds on any printed items or work that has already been completed. I acknowledge that this form will be kept on file for any future orders with Score More Leads unless told otherwise in a written statement.

BY ELECTRONICALLY SIGNING BELOW, I ACKNOWLEDGE AND AGREE TO ALL TERMS STATED HEREIN INCLUSIVE OF ALL ITEMS ON THIS SERVICE AGREEMENT.
